These Supplier / Dealer / Brand Listing Terms & Conditions (“Listing Terms”) govern the purchase, activation, and use of digital listing, branding, and visibility services offered by hdhmr.in (“Website”, “we”, “our”, “us”).

By making any payment, accepting an invoice, or submitting business or brand details for listing or branding on hdhmr.in, you (“Listing Partner”, “Client”, “you”) agree to be legally bound by these Listing Terms.

These Listing Terms are separate from and in addition to hdhmr.in’s general Terms of Service and Privacy Policy.

Definitions

For the purposes of these Listing Terms, “Listing Partner” refers to any business entity or individual that submits details, purchases, or is published on hdhmr.in for listing, branding, promotion, or visibility purposes, including but not limited to suppliers, dealers, distributors, wholesalers, manufacturers, brands, importers, exporters, stockists, channel partners, or any similar commercial entity.

1. Nature of Services

hdhmr.in provides digital services only, which may include:

• Business, supplier, dealer, distributor, or brand listings

• Digital branding and visibility placements

• Category, city, or district-based visibility

• Promotional, featured, or highlighted placements

• Online business and brand information display

hdhmr.in is not:

• A manufacturer

• A supplier, dealer, distributor, or brand owner

• A broker or agent

• A marketplace

We do not participate in product sales, pricing negotiations, payments, delivery, warranties, installation, or customer disputes.

All services are strictly digital visibility and branding services only.

2. Commercial Terms & Invoicing

• All commercial terms, including pricing, plans, duration, placement, benefits, and inclusions, are governed solely by the invoice, proposal, or written commercial communication issued to you.

• An invoice is deemed accepted in full once payment is made.

• All payments are 100% advance, unless otherwise agreed in writing.

• All fees are strictly non-refundable once the service is activated, regardless of performance or outcome.

No cancellation or refund is permitted after activation.

3. Listing Activation & Validity

• Listings are activated upon receipt of payment and required business or brand information.

• The activation date is the date the listing goes live on hdhmr.in.

• Listing validity and duration are as specified in the invoice.

• Delays caused due to incomplete, inaccurate, or delayed information from the Listing Partner do not extend the listing period.

4. Placement, Ranking & Visibility

• Placement, ranking, and visibility depend on multiple factors, including:

  • Plan or package purchased (as per invoice)

  • Payment confirmation

  • Content quality, branding assets, and completeness

  • Website layout and user-experience considerations

• hdhmr.in retains full discretion over final placement, design, layout, ordering, and presentation.

• No fixed position, ranking, exclusivity, lead volume, or outcome is guaranteed unless explicitly stated in writing.

5. Complimentary or Promotional Benefits

Any complimentary benefits, add-ons, or promotional placements:

• Are non-contractual

• May be modified or withdrawn at any time

• Are not guaranteed for the full tenure

• Shall not be considered part of the paid service unless expressly stated in the invoice

6. Content Responsibility (Listing Partner)

The Listing Partner confirms and agrees that:

• All submitted business or brand information, logos, images, certifications, trademarks, product references, and contact details are accurate, lawful, and up to date

• The Listing Partner owns or has the legal right to use all submitted content

• The Listing Partner is solely responsible for:

  • Misrepresentation or false claims

  • Pricing or product reference errors

  • Trademark or copyright violations

  • Regulatory or legal non-compliance

hdhmr.in does not verify or audit Listing Partner-submitted information.

7. Right to Edit or Remove Listings

hdhmr.in reserves the right to edit, suspend, hide, or permanently remove any listing without refund if:

• Information is misleading, false, or deceptive

• Trademark misuse or infringement is identified

• Illegal, unethical, or non-compliant practices are suspected

• Abuse, spam, fake reviews, or ranking manipulation is detected

• User complaints indicate serious misconduct

The decision of hdhmr.in shall be final and binding.

8. No Guarantee Clause

hdhmr.in does not guarantee:

• Leads or inquiries

• Sales or conversions

• Brand visibility impact

• Business growth

• Search-engine rankings

• Traffic volume or return on investment

Performance depends on market demand, competition, search-engine algorithms, user behavior, and brand strength.

9. GST & Taxation

• GST shall be charged as applicable under Indian law.

• SAC Code: 998365 – Online Advertising / Digital Listing Services

• Input Tax Credit (ITC) eligibility depends on the Listing Partner’s GST registration and compliance.

• Invoices are deemed accepted once payment is completed.

10. No Agency or Partnership

Nothing in these Listing Terms creates:

• A partnership

• An agency relationship

• A joint venture

• An employment relationship

hdhmr.in does not represent the Listing Partner, nor does the Listing Partner represent hdhmr.in.

11. Limitation of Liability

To the maximum extent permitted by law:

• hdhmr.in’s total liability is limited to the amount paid by the Listing Partner for the listing or branding service.

• hdhmr.in shall not be liable for:

  • Loss of business, revenue, or reputation

  • Customer or consumer disputes

  • Product or service issues

  • Trademark disputes arising from Listing Partner content

  • Search-engine ranking or algorithm changes

  • Website downtime or technical interruptions

Use of the listing service is entirely at the Listing Partner’s own risk.

12. Indemnity

The Listing Partner agrees to indemnify, defend, and hold harmless hdhmr.in, its owners, directors, employees, and affiliates from any claims, losses, damages, penalties, or legal costs arising from:

• Submitted content or branding materials

• Business or brand practices

• Violations of law or regulation

• Trademark, copyright, or IP disputes

• User or customer complaints

13. Service Interruptions & Changes

hdhmr.in shall not be liable for interruptions caused by:

• Hosting or server issues

• Maintenance or upgrades

• Search-engine algorithm changes

• Third-party service failures

hdhmr.in may modify features, layouts, or services at any time without notice.

14. Governing Law & Jurisdiction

These Listing Terms shall be governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka.
