🏷️ Supplier / Dealer Listing Terms & Conditions

Effective Date: 01 August 2025

These Supplier/Dealer Listing Terms & Conditions (“Terms”) govern the purchase, activation, and use of listing and branding services offered by HDHMR.in (“we”, “our”, “us”).
By making a payment or submitting business details for listing, you (“supplier”, “dealer”, “client”, “you”) agree to these Terms.

These Terms are separate from the general Website Terms of Service and Privacy Policy.

1. Nature of Service

HDHMR.in provides:

• Digital branding

• Visibility placements

• Dealer/supplier listing publication

• Category/district ranking slots (Platinum, Gold, etc.)

We are not:

• A manufacturer

• A supplier

• A dealer

• A distributor

• A broker

• An agent

• A marketplace

We only provide digital branding and visibility services through our website.

We do not guarantee inquiries, leads, conversions, orders, or sales.

2. Payment Terms

• All listings require 100% advance payment.

• All payments are strictly non-refundable under any circumstances.

• Listing benefits commence immediately upon activation; therefore, cancellations are not permitted.

• Invoice is automatically considered accepted once payment is made.

3. Listing Validity & Activation

• Each listing is valid for 12 months from the activation date.

• Activation Date = The date the listing goes live on HDHMR.in.

• Delays caused by incomplete or inaccurate information from the client do not affect expiry.

4. District & Plan Selection

• District selection, and plan tier (Platinum/Gold/etc.) become final and non-changeable once the invoice is generated.

• Slot allocation is strictly on a first-paid, first-published basis.

• Any change request, if permitted at HDHMR.in’s discretion, may incur additional charges.

5. Ranking Structure (Platinum / Gold)

Your platform structure includes:

• Top 3 positions → Platinum Listing (maximum visibility)

• Positions 4 onward → Gold Listing (district-level visibility)

Ranking priority is based on:

• Plan purchased

• Payment confirmation

• Content completeness

• Branding quality

HDHMR.in retains full discretion to determine the final placement based on website design and user experience considerations.

6. Complimentary Benefits

Any complimentary add-ons (e.g., listing on PDHMR.com, bonus placement, banners) are:

• Non-contractual

• Subject to removal or modification anytime

• Not guaranteed for full tenure

• Provided voluntarily at HDHMR.in’s discretion

They shall not be interpreted as part of the paid service.

7. Content Responsibility (Supplier)

You agree that:

• All business details, product information, certifications, images, and contact numbers you submit are accurate and truthful.

• You have full rights and permissions to use all content you provide.

• You are solely responsible for misrepresentation, false claims, pricing errors, or copyrighted materials submitted.

• HDHMR.in is not responsible for verifying the authenticity of any supplied information.

If any content is found misleading, fraudulent, copyrighted, harmful, or unlawful, HDHMR.in may:

• Edit

• Hide

• Replace

• Or permanently remove the listing

without refund.

8. Right to Remove Listings Without Refund

Listings may be removed without compensation in cases of:

• Fraudulent or deceptive information

• Misrepresentation

• Illegal business practices

• Abuse of platform

• Fake reviews

• Harassment of users

• Violations of public policy

• Attempts to manipulate ranking placements

Decision of HDHMR.in shall be final.

9. No Guarantee Clause

We do not guarantee:

• Leads

• Inquiries

• Sales

• Conversions

• Business growth

• Search engine rankings

• Any specific results from branding services

The service provided is visibility only.

Performance depends on:

• Market demand

• Industry conditions

• Search engine algorithms

• User behaviour

• Supplier brand strength

10. GST & Invoicing

• GST is applicable as per Indian law.

• SAC Code used: 998365 (Online Advertising & Listing Services)

• Input Tax Credit (ITC) availability depends on your GST status.

• Invoice is considered accepted once payment is completed.

11. No Agency or Partnership

Nothing in this agreement creates:

• A partnership

• An agency

• A joint venture

• An employment relationship

between HDHMR.in and the supplier.

We do not mediate communication, pricing, payments, delivery, or negotiations.

12. Limitation of Liability

To the maximum extent permitted by law:

• HDHMR.in’s total liability is limited to the amount paid by you for the listing.

• We are not liable for:

  • Loss of business

  • Loss of revenue

  • Loss of reputation

  • Product issues

  • Disputes with customers

  • Errors in supplier-submitted content

  • Search engine ranking changes

  • Website downtime

Your use of the listing service is entirely at your own risk.

13. Indemnity Clause

You agree to indemnify, defend, and hold HDHMR.in harmless from:

• Claims

• Damages

• Penalties

• Losses

• Legal fees

arising from:

• Your content

• Your business practices

• Misrepresentation

• Violations of law

• User complaints resulting from your services

14. Service Interruptions

HDHMR.in shall not be liable for:

• Hosting/server issues

• Website downtime

• Search engine algorithm changes

• Temporary feature unavailability

• Maintenance windows

• Third-party service interruptions

Services may be updated or redesigned without notice.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.
